Legal Consulting Agreement

This Agreement is entered into as of [Effective Date] by and between Client: [Client Legal Name / Entity], with a principal place of business at [Client Address] ("Client"); and Consultant: Redlines Legal Consulting llc, with a principal place of business at [Consultant Address] ("Consultant").

1. Scope of Services
Contract Review: reviewing, auditing, and analyzing commercial contracts and legal documents. Contract Negotiation: assisting with redlining, drafting counter-proposals, and negotiating commercial terms. Contract Template Creation: developing customized contract templates, master agreements, and standard legal forms.

2. Term and Termination
The Agreement begins on the Effective Date and continues until [End Date / Completion of Services] unless terminated earlier. Either Party may terminate for convenience with thirty days' written notice. Either Party may terminate immediately for material breach not cured within fourteen days after notice. Upon termination, Client shall pay for Services rendered and approved expenses incurred through termination.

3. Compensation and Fees
Client shall compensate Consultant at the rate of [Amount per Hour / Retainer Fee / Project Fee] in the applicable Statement of Work or invoice schedule. Invoices are issued [Monthly / Upon Completion of Milestones] and payable within thirty days. Client reimburses reasonable, pre-approved out-of-pocket expenses.

4. Independent Contractor Status
Consultant is an independent contractor, not an employee, agent, partner, or joint venturer, and is responsible for its taxes, withholdings, social security, and insurance obligations.

5. Confidentiality
Each Party shall protect non-public proprietary or business information. Confidential Information may not be disclosed without authorization except as required by law. These duties survive for three years after termination.

6. Data Privacy and Protection
The Parties shall comply with applicable data privacy laws. Consultant shall maintain appropriate safeguards, process personal data only as necessary and as instructed, and return or destroy Client data upon request subject to legal retention requirements.

7. Intellectual Property Ownership
Subject to full payment, Client owns final bespoke deliverables and custom templates created specifically for Client. Consultant retains pre-existing tools, methodologies, clause libraries, frameworks, and generic legal knowledge, licensing embedded Background IP for Client's use.

8. Limitation of Liability
Except for confidentiality breaches or gross negligence, aggregate liability is limited to fees paid or payable in the twelve months preceding the event. Neither Party is liable for indirect, incidental, or consequential damages.

9. Governing Law and Severability
This Agreement is governed by the laws of [State / Jurisdiction]. Invalid provisions do not affect the remaining provisions.

10. Entire Agreement
This Agreement is the entire understanding of the Parties and supersedes prior discussions. Amendments must be written and signed.
